Applies to: All wholesale customers and authorized resellers purchasing from MuseoCo (“MuseoCo”, “we”, “us”).
1) Purpose
This policy protects customers and brand integrity by setting clear rules for who can buy wholesale from MuseoCo and how products may be marketed and sold.
2) Eligibility & Approval
- Wholesale access is by approval only. We may approve, deny, suspend, or revoke any account at our discretion.
- You must provide accurate business information and any documents we request (examples: business registration, Business Tax ID (BN/EIN), resale/tax documentation, sales channels).
- You must promptly update us if your business name, ownership, address, or sales channels change.
3) Authorized Sales Channels
You must disclose all intended sales channels (storefront, website, marketplaces, social, wholesale-to-wholesale, etc.).
- You may sell only through the channels you disclosed and that we approved.
- Adding new channels requires written approval from MuseoCo.
4) Marketplaces (Amazon, Walmart, eBay, etc.)
Marketplace selling is not allowed unless you have written approval from MuseoCo.
If approval is granted, you agree to all of the following:
- You will provide your marketplace store name(s) and seller ID(s) to MuseoCo.
- You will not create new listings, alter brand content, or change product claims without written approval.
- You will follow our channel controls (examples: authorized ASINs only, no listing hijacks, no “generic” listings, no bundle/variation edits that change meaning).
- You will not commingle or mix inventory in a way that prevents tracing supply (MuseoCo may require traceability practices).
5) Minimum Advertised Price (MAP) / Pricing Integrity (If Applicable)
If MuseoCo provides a MAP policy or pricing rules, you must comply.
- Repeated price undercutting, coupon stacking, or tactics that effectively bypass MAP can result in enforcement actions (see Section 12).
6) No Diversion / No Unauthorized Redistribution
- You may not sell, transfer, or distribute MuseoCo-supplied products to other resellers, liquidators, exporters, or brokers without written approval.
- You may not purchase for the purpose of re-labeling, repackaging, or relisting under a different brand/generic listing.
7) Marketing, Claims & Brand Assets
- Do not make false, misleading, or unapproved claims.
- No disease claims (examples: “treats,” “cures,” “prevents,” “heals,” “anti-cancer,” “lowers blood pressure,” “fixes diabetes,” etc.).
- Do not imply official endorsements, approvals, or clinical results unless you have written permission and compliant substantiation.
- Use only approved product images and brand assets when provided. Do not alter labels or packaging in your marketing.
8) Product Handling, Storage & Customer Safety
You are responsible for safe handling and storage:
- Store products according to label directions (temperature, humidity, light exposure).
- Do not sell damaged, opened, tampered, expired, or materially near-expiry products as “new.”
- You must cooperate with any safety notice, recall, or quality investigation.
9) Orders, Payment, and Title
- Orders may be subject to minimums, case packs, and availability.
- We may cancel or limit quantities if we suspect policy violations or risk to customers/brands.
- Title and risk of loss transfer based on the shipping terms stated on your invoice/order confirmation.
10) Returns
- Returns require written approval and an RMA (return authorization).
- No returns on opened, damaged, discontinued, clearance, or expired/near-expiry items (unless we confirm a defect/issue).
- Any approved return must be in sellable condition and in original packaging.
11) Audits & Information Requests
To protect channel integrity, MuseoCo may request:
- Your current sales channels and URLs
- Proof of where products were sold (invoices, screenshots, order logs)

Confirmation of inventory traceability
Failure to cooperate may result in suspension or termination.
12) Enforcement
If you violate this policy, MuseoCo may take any of the following actions (without limiting other rights):
- Written warning and compliance deadline
- Suspension of wholesale privileges
- Cancellation of pending orders
- Termination of your account
- Request removal of listings/content that violate our rules
- Refusal of future sales
13) No Warranty on Resale Outcomes
MuseoCo does not guarantee sell-through, profitability, ranking, or marketplace performance.
14) Limitation of Liability
To the maximum extent permitted by law, MuseoCo is not liable for indirect, incidental, consequential, or special damages arising from your purchase or resale of products.
15) Indemnification
You agree to indemnify and hold harmless MuseoCo from claims, losses, penalties, or expenses arising from your improper storage/handling, unlawful marketing, unapproved claims, or policy violations.
16) Changes to This Policy
MuseoCo may update this policy at any time. The latest version will be posted on our website. Continued purchasing after changes means you accept the updated policy.
17) Governing Law
This policy is governed by the laws of Ontario, Canada, and applicable Canadian federal law.
